1. Introduction

These Terms of Use / Terms and Conditions (“Terms”) govern your access to and your use of our services, including our websites, SMS, Application Programming Interface (API), email notifications, applications, buttons, widgets, ads, mobile applications, features, technologies and software and our other related and covered services as well. Brands under FilterPixel include but are not limited to FilterPixel, and any other brand launched. The content offered through FilterPixel Site/App/Platform/and/or the FilterPixel Applications is available on Android as well as IOS and FilterPixel’s Social Media presence (including but not limited to Twitter, Facebook, Instagram, etc.) or any mobile or internet connected device or website or otherwise and any products and/or services offered by the Company and “FilterPixel” also means a platform as a service available in stateless form, creating AI avatars of Professionals knowledge taking initial decisions at scale and with zero deviation. (collectively, the “FilterPixel Site/App/Platform” and/or “Service”). Brands under FilterPixel include but are not limited to, FilterPixel and any other brand launched.

“User” or “You” means any person or professional who accesses or avails this Service of the Company for the purpose of transacting, interacting, considering, or uploading information or views and includes other persons jointly participating in using the Site/App/Platform or Service of the Company and any person who accesses or avails this Service of the Company for the purpose of browsing, hosting, publishing, sharing, transacting, displaying, interacting, considering or uploading information or views and includes other persons jointly participating in using the FilterPixel Site/App/Platform or Service of the Company.

FilterPixel and You shall be individually referred to as ‘Party’ and collectively as ‘Parties’.

Collectively, we refer to the Terms and Conditions, and/or Terms of Use along with any details you have provided by way of any Content, information, application form and related applicable process as the “Agreement”, which is a binding contract between You and the Company regarding your use of FilterPixel Site/App/Platform.

Agreement Acceptance: By accessing the FilterPixel Site/App/Platform or using the Service, you agree to be bound by these Terms. Therefore, these Terms are to be read carefully before continuing to use the Service. If you do not agree with any of these Terms, please do not use the Site/App/Platform or Service. By accepting this Agreement, you confirm that you are at least 18 years old and that you are able to form a legally binding contract. If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the legal authority to bind that company or legal entity by the terms of this Agreement.

You also acknowledge and agree that we can modify this Agreement at any time, in our sole discretion; that all modifications to this Agreement will be effective immediately upon our posting of the modifications on this FilterPixel Site/App/Platform; and that you will review this Agreement each time you access this FilterPixel Site/App/Platform, so that you are aware of and agree to any and all modifications made to this Agreement. Your use of the FilterPixel Site/App/Platform after any amendment to the Terms of Use shall constitute your acceptance of these terms and you also agree to be bound by any such changes/revisions.

Supplemental terms can apply to certain Services, such as policies for a particular event, activity or promotion, and such supplemental terms will be disclosed to you in connection with the applicable Services. Supplemental terms are in addition to, and shall be deemed a part of, the Terms for the purposes of the applicable Services and shall prevail over these Terms in the event of a conflict with respect to the applicable Services.

Your Relationship with FilterPixel: By using our FilterPixel Site/App/Platform, you are agreeing to our Terms. The Terms of Service are a legally binding agreement between you and FilterPixel. If you break the Terms, we may suspend or terminate your relationship with us. FilterPixel Site/App/Platform charge for certain aspects of the FilterPixel Site/App/Platform, and some of these fees are billed on a one-time, regular and recurring basis (unless you disable auto-renewal or cancel your subscription).

“Account” means the primary and centralised means of accessing FilterPixel as a service, designated as the "FilterPixel Site/App/Platform". “Stateless” means a type of Internet protocol where the state of the previous transactions is neither stored nor referenced in subsequent transactions.

“Knowledge” means the information and insights provided by the professionals on the FilterPixel platform also known as “Choreograph” i.e, the information provided by the Professional to FilterPixel Site/App/Platform, encompassing nodes, probabilities, billing details, and related data.

“Decision” means a conclusion reached after careful consideration of available options or alternatives. It involves choosing one course of action from various possibilities based on evaluation of the relevant information, circumstances, and desired outcomes.

“Customer” means a user or an intended user engaged in interactive communication with the AI avatar of Professional using FilterPixel Site/App/Platform.

“Customer Data” means the information furnished by the Customer to the AI avatar of Professional through its chat(bot) interactions using FilterPixel Site/App/Platform.

“Responsibility” means the state or quality of being answerable for the Customer's data, actions, decisions, or obligations within the context of the service.

2. Disclaimer

This FilterPixel Site/App/Platform is provided on an “as is” and “where-is” basis, without any warranty. FilterPixel, for itself and any third-party providing materials, services, or content to this Site/App/Platform, makes no representations or warranties, either express, implied, statutory or otherwise of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, with respect to the FilterPixel Site/App/Platform, the information or any products or services to which the information refers. FilterPixel or its affiliates including the directors, officers, employees or agents will not be liable to you or any third party for any damages of any kind, including but not limited to, direct, indirect, incidental, consequential or punitive damages, arising from or connected with the FilterPixel Site/App/Platform, including but not limited to, your use of this Site/App/Platform or your inability to use the Site/App/Platform, even if FilterPixel has previously been advised of the possibility of such damages.

You expressly agree that you shall not, during the course of this Agreement, nor at any time thereafter, unless authorized in writing by the Company, make or publish any statement or make any writings or remark or comment or other expressions, either orally or in writing or in any manner or in any medium whatsoever, which is intended to or would, or could be construed to, or which reasonably may be expected to injure, discredit, prejudice, criticize, embarrass, disparage, besmirch, demean, deprecate, impugn, defame or otherwise (a) the Company; or (b) the shareholders, officers or directors of the Company; or (c) Company's affiliates, employees, agents, operations, or plans; likewise and/or Company's business, reputation, method of doing business, relationships with its customers or suppliers or any other related party or their respective products or services or relations with creditors, regardless of whether such action by You would constitute a cause of action for the above. Nor shall You assist any other person, firm or company in so doing. You further agree that you will not commit damage to the property of the Company and its affiliates, or otherwise engage in any misconduct, which is injurious to the business or reputation of the Company and its affiliates.

FilterPixel has no obligation to monitor the FilterPixel Site/App/Platform and Services. FilterPixel reserves the right to terminate or suspend your access to any or all of the FilterPixel Site/App/Platform Services at any time without notice for any reason whatsoever. FilterPixel reserves the right at all times to disclose any information as is necessary to satisfy or comply with any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, at FilterPixel’s sole discretion. FilterPixel does not control or endorse the content, messages or information found in any FilterPixel Site/App/Platform and/or Service and, therefore, FilterPixel specifically disclaims any liability or responsibility whatsoever with regard to the FilterPixel Site/App/Platform and/or Services and any actions resulting from your participation in any FilterPixel Site/App/Platform Service. Materials uploaded to the FilterPixel Site/App/Platform shall be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for keeping yourself updated of and adhering to such limitations if you download the materials.

3. License

Subject to your compliance with this Agreement’s terms, the Company grants you a non-exclusive, non-transferable license to use the FilterPixel Site/App/Platform. By providing Content (defined below) to the FilterPixel Site/App/Platform, you grant to FilterPixel a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use that Content (including to reproduce, distribute, prepare derivative works, display and perform it), now known or later developed. FilterPixel Site/App/Platform may only use that Content in connection with the Service and FilterPixel Site/App/Platform’s (and its successors and Affiliates) business, including for the purpose of promoting and redistributing part or all of the Service. However, this license does not grant any rights or permissions for a user to make use of your Content independent of the Service.

4. Registration Access and Use

All information received by us from your registration on our FilterPixel Site/App/Platform will be used by FilterPixel in accordance with our Terms of Use. We expect you to provide accurate and complete information in the compulsory fields. We also expect you to keep the information secure, specifically access passwords and payment information. Kindly update the information periodically to keep your account relevant. We will rely on any information which you provide to us. Therefore, you are responsible for the use of the Service made by you or anyone else using your ID and for preventing unauthorized use of your ID. It is your responsibility that the user of the FilterPixel Site/App/Platform at all times uses the username and password appropriately. If you believe there has been any breach of security such as the disclosure, theft or unauthorized use of your ID or any payment information, you must notify FilterPixel immediately by the contact details provided below.

You may use the Services only if you agree to form a binding contract with FilterPixel and are not a person barred from receiving services under the laws of the applicable jurisdiction. If you are accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so. If you are using the Service on behalf of a company or organization, you represent that you have the authority to act on behalf of that entity, and that such entity accepts this Agreement.

5. Account Setup and Maintenance

You must ensure that all information you provide in connection with establishing your FilterPixel Site/App/Platform account is accurate when you provide it, and you must keep it up to date as long as you use the FilterPixel Site/App/Platform. You may maintain only one account at a time unless you are using multiple accounts solely for the purpose of delivery of the content for which you hold legal rights. You will not use false identities or impersonate any other person or use a username or password you are not authorized to use. You authorize us, directly or through third parties, to make any inquiries as appropriate to verify the account information you provide. You also consent to us sending you emails relating to the FilterPixel Site/App/Platform and other publishing opportunities from time to time. You are solely responsible for safeguarding and maintaining the confidentiality of your account username and password and are responsible for all activities that occur under your account, whether or not you have authorized the activities. You may not permit any third party to use the FilterPixel Site/App/Platform through your account and will not use the account of any third party. You agree to immediately notify FilterPixel of any unauthorized use of your username, password or account. FilterPixel shall not be responsible for any, direct or indirect, loss or damage arising out of the User’s failure to comply with this and you shall indemnify FilterPixel against any liability arising out of your inability to keep your ID and passwords secure.

6. Usage

All content of this FilterPixel Site/App/Platform is owned or controlled by the Company and is protected by worldwide copyright laws. You may download content only for your personal use for non-commercial purposes but no modification or further reproduction of the content is permitted. The content may otherwise not be copied or used in any way.

The owners of this FilterPixel Site/App/Platform will use reasonable efforts to include up-to-date and accurate information in this FilterPixel Site/App/Platform, but make no representations, warranties, or assurances as to the accuracy, currency, or completeness of the information provided. The owners of this FilterPixel Site/App/Platform shall not be liable for any damages or injury resulting from your access to, or inability to access, this FilterPixel Site/App/Platform, or from your reliance on any information provided at this FilterPixel Site/App/Platform.

The trademarks, service marks, trade names, trade dress and products in this FilterPixel Site/App/Platform are protected in India and internationally. No use of any of these may be made without the prior, written authorization of the owners of this FilterPixel Site/App/Platform, except to identify the products or services of the Company.

Any personally identifiable information in electronic communications to this FilterPixel Site/App/Platform is governed by the Terms. The owners of this site shall be free to use or copy all other information in any such communications, including any ideas, inventions, concepts, techniques or know-how disclosed therein, for any purposes. Such purposes may include disclosure to third parties and/or developing, manufacturing and/or marketing goods or services.

The sender of any communications to this FilterPixel Site/App/Platform or otherwise to the owners of this FilterPixel Site/App/Platform shall be responsible for the content and information contained therein, including its truthfulness and accuracy. The Company may at any time modify, discontinue, or suspend its operation of this FilterPixel Site/App/Platform property, or any part thereof, temporarily or permanently, without notice to you. The Company’s failure to insist upon strict enforcement of any right shall not be construed as a waiver of the same.

You are responsible for your use of the Service and for any information, time entry, location, text, links, graphics, photos, videos, or other materials or arrangements of materials uploaded, downloaded or appearing on the Services (collectively referred to as “Content”) you provide, including compliance with applicable laws, rules, and regulations. You should only provide Content that you are comfortable sharing with others. Any use or reliance on any Content or materials posted via the Services or obtained by you through the Services is at your own risk. 7. Data Protection

FilterPixel Site/App/Platform, as a stateless system, explicitly disclaims any possession, custody, or control of customer data. FilterPixel Site/App/Platform functions as a repository for rules created by you or the professional, storing and processing them exclusively on their behalf.

FilterPixel Site/App/Platform provides you the use of your account for publishing knowledge or selling your knowledge for your own use. FilterPixel Site/App/Platform will not be responsible for any liabilities arising from the professional's unauthorized use of the system or its data.

FilterPixel reserves the right to suspend the contract and the professional's access to the platform without compensation. FilterPixel will make every effort to resolve professional disputes amicably. Professionals are only granted the right to use the platform; however, the professional will retain the copyright on the knowledge/information provided to FilterPixel. The professional is accountable for inserted content. If the content is deemed illegal, infringing on privacy or intellectual property rights, or falls under the categories listed in section 5, the professional must promptly delete it. FilterPixel will not be responsible for any legal consequences arising due to it.

8. Prohibited Conduct

As a condition precedent of the use of the FilterPixel Site/App/Platform, the User warrants that they will not use the FilterPixel Site/App/Platform for any purpose that is unlawful or illegal under any law for the time being in force within or outside India or prohibited by this Agreement including both specific and implied.

You agree not to use the FilterPixel Site/App/Platform and Services in any manner that may bring the FilterPixel Site/App/Platform and Services into disrepute, in relation to, or for the purchase or trade of, photographs, video imagery, computer-generated images, cartoons, simulation, or any other media or activities including, but not limited to, any of the following:

• Child pornography
• Child abuse imagery
• Incest
• Bestiality
• Rape (or any other non-consensual sexual behaviour)
• Non-consensual mutilation of a person or body part
• Any other manner that is not acceptable to FilterPixel Site/App/Platform and Services as determined at its sole discretion

9. Using the Services

You may use the Services only in compliance with these Terms and all applicable laws, rules and regulations. Our Services evolve constantly. As such, the Services can change from time to time, at our discretion. We can stop (permanently or temporarily) providing the Services or any features within the Services to you or to Users generally. We also retain the right to create limits on use and storage at our sole discretion at any time. We may also remove or refuse to distribute any Content on the Services, suspend or terminate users, and reclaim usernames without liability to you.

We may modify, suspend, or terminate your account or access to the FilterPixel Site/App/Platform if, in our sole discretion, including any of the policies or guidelines that are part of these Terms, it is in the best interest of the FilterPixel Site/App/Platform community, or to protect our brand or FilterPixel Site/App/Platform. When this happens, we will notify you of the modification, suspension, or termination. We may also remove accounts of members who are inactive for an extended period of time. Please contact us if you believe the modification, suspension, or termination has occurred in error. A member who has the ability to moderate or manage a particular portion of our FilterPixel Site/App/Platform also has the ability, in his or her sole discretion, to modify, suspend, or terminate your access to that portion of the FilterPixel Site/App/Platform.

In consideration for FilterPixel granting you access to and use of the Services, you agree that FilterPixel and its third-party providers and partners may place advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others.

You may not do any of the following while accessing or using the Services:

• (i) Access, tamper with, or use non-public areas of the Services, FilterPixel’s computer systems, or the technical delivery systems of FilterPixel’s providers;
• (ii) Probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
• (iii) Access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces provided by FilterPixel (unless specifically allowed in a separate agreement);
• (iv) Forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information;
• (v) Interfere with, or disrupt (or attempt to do so) the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.

We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to satisfy any applicable law, regulation, legal process or governmental request to enforce these Terms, detect or address fraud, security or technical issues, respond to user support requests, or protect the rights, property or safety of FilterPixel and its users and the public. Additionally, FilterPixel is not responsible for any hardware issues arising from installations on user premises.

FilterPixel Site/App/Platform contains proprietary and confidential information and is protected by intellectual property and other laws. You agree that you will not, either directly or indirectly: (a) use, host, store, reproduce, modify, publish, publicly display, publicly perform, distribute, or create derivative works of the FilterPixel Site/App/Platform or any portion thereof; (b) remove or alter the proprietary notices on the FilterPixel Site/App/Platform; (c) reverse engineer, disassemble, decompile, or attempt to discover the source code or structure of the FilterPixel Site/App/Platform; or (d) rent, lease, resell, or use the FilterPixel Site/App/Platform for commercial purposes not contemplated by this Agreement. You further agree not to use the FilterPixel Site/App/Platform to solicit or collect personal data from others beyond what is necessary.

10. Use of Services

Although we believe our platform features are designed to work well, to the extent permitted by law, FilterPixel makes no warranties, express or implied, about the operation, performance, availability or results of the FilterPixel Site/App/Platform Service. The Company is not liable for actions or inactions of any User or any third party.

FilterPixel Site/App/Platform may contain links to websites and services owned or operated by third parties. Any information you provide to or that is collected by a third party is subject to that third party’s privacy policy. We are not responsible for the content, privacy, or security practices of third-party sites.

Fees: Some features of the FilterPixel Site/App/Platform are free, while others incur fees. We may implement or modify fees for current or future features. If fees change, you will be notified by posting updates on the FilterPixel Site/App/Platform. You agree to pay all fees and associated taxes. FilterPixel does not provide refunds for unused portions of services unless otherwise stated.

11. Confidential Information and Non-Disclosure

“Confidential Information” includes all information identified by FilterPixel as confidential, such as trade secrets, software, designs, data, and business plans. You recognize that such information is the property of FilterPixel and agree to hold it in strict confidence.

• You agree to protect the Confidential Information against unauthorized use or disclosure.
• You will not use any Confidential Information except as specifically authorized by FilterPixel.
• You shall restrict access to Confidential Information to those who need it and ensure they are informed of its confidential nature.
• You agree to comply with any additional security measures requested in writing by FilterPixel.
• You shall notify FilterPixel immediately if you discover any unauthorized use or disclosure of Confidential Information.
• Upon request, you will return or destroy all Confidential Information and certify such destruction.

12. Availability

FilterPixel controls and operates the FilterPixel Site/App/Platform from India. It makes no representation that the materials are available for use outside India. If you access the site from outside India, you are responsible for complying with local laws.

FilterPixel does not guarantee that users in one region may obtain services from the FilterPixel Site/App/Platform in another region. Orders may be canceled or redirected based on regional availability.

Information on the website may reference products or services not available in your country. Such references do not imply future availability.

13. Representation and Warranties

You represent and warrant that (i) you have the full, unencumbered right to grant FilterPixel the rights set forth herein; (ii) all information you provide is current, complete, and accurate; (iii) the Content provided by you does not contain defamatory, libelous, obscene, or illegal material; and (iv) your actions do not violate any laws or infringe upon any rights.

14. User’s Rights

These Terms authorize us to make your Content available to others. You grant FilterPixel a license to provide, promote, and improve the Services by making the Content you submit available for syndication, distribution, promotion, or publication, without any compensation to you. You acknowledge that we may modify or adapt your Content for distribution across different media.

15. Eligibility and Lifetime Access

a. This lifetime deal is available exclusively to the first 100 individuals who join the FilterPixel Family Facebook Group and provide the required feedback.

b. To qualify, you must comply with all applicable laws and regulations in your jurisdiction.

a. Upon the successful purchase of the lifetime deal, you will be granted lifetime access to FilterPixel’s culling and editing services, subject to your adherence to these Terms.

b. Lifetime access permits full use of the product or service based on the features and functionalities available at the time of purchase, subject to future modifications or updates.

c. This access is non-transferable and strictly for your personal use.

d. Notwithstanding the term “lifetime,” FilterPixel reserves the right to modify, suspend, or discontinue lifetime support under uneven or unforeseen circumstances, including significant market changes, technological advances, or other factors that may affect sustainable service delivery.

e. Additionally, users who purchase the lifetime deal will be required to upgrade after three years from the purchase date to access future features, with the upgrade price determined solely by FilterPixel.

16. Payment to You

For clarity, FilterPixel Site/App/Platform will not be obligated to pay you any License Fees or any fees at all.

17. Other Fees

FilterPixel reserves the right to charge fees for every decision, certain listings, and Services, as well as transaction fees based on completed transactions using the FilterPixel Site/App/Platform and/or Service. FilterPixel further reserves the right to alter any and all fees from time to time without notice. The User shall be liable for all applicable charges, fees, duties, taxes, levies, and assessments for availing the FilterPixel Site/App/Platform and/or Service.

18. Payment

• You can pay applicable fees using a Debit/Credit Card, Online Payment Method, or through your Internet Banking.
• You warrant that the Payment details provided to the Payment Gateway are correct and lawfully owned by you.
• You authorize the debit to the nominated Debit/Credit Card or Bank account for the settlement of bills including applicable fees.
• You are responsible for ensuring that sufficient credit is available at the time of payment.
• You will be charged as per the FilterPixel price plan published on the FilterPixel Site/App/Platform.
• Custom development for a professional's tech and knowledge building will be charged separately as agreed by the parties.
• If the number of decisions exceeds the plan's limit, additional charges will be applied at the per-decision rate in the subsequent billing cycle.
• The desired payment plan or any modifications in exceptional cases will be agreed over email and approved by FilterPixel’s management.
• You are responsible for providing accurate billing information and for all applicable taxes or duties.
• Failure to adhere to the payment terms may result in termination of services.

19. Refunds and Charge backs

If FilterPixel receives a request from a User for a refund or cancellation of payment in relation to any transaction, FilterPixel will process the request and determine whether a refund or cancellation must be processed. If agreed, a credit slip will be issued within 90 days.

All other Charges related to the use of Services and/or products provided by FilterPixel will be borne by the User.

20. Relationship

Nothing in these Terms shall be deemed to constitute a partnership between you and FilterPixel, nor shall either party have any authority to bind the other.

21. Secure Transactions

FilterPixel has implemented security systems for transmitting Users’ Transactions. However, FilterPixel does not guarantee the absolute security of the Services or Transaction data, and you acknowledge that you are responsible for the security of information stored on your servers.

22. User’s Obligations and User Account

To avail a Service, you must maintain at your own cost all necessary equipment (e.g., phone, computer, internet data, battery, modem) and have access to the World Wide Web. You are responsible for any third-party fees incurred for access. Upon registration, you will receive a User ID and Password; you must keep these confidential and are solely responsible for all activities under your account. If any unauthorized use occurs, notify FilterPixel immediately.

You must comply with all applicable laws, and if using the Service on behalf of a legal entity, you warrant that you are authorized to bind that entity to these Terms.

FilterPixel reserves the right to limit, suspend, or terminate your account if you breach these Terms, and may take legal action to recover any amounts due.

23. Links to Third Party Sites

The FilterPixel Site/App/Platform may contain links to third-party sites (“Linked Sites”). FilterPixel is not responsible for the content, updates, or accuracy of any Linked Site and does not endorse any advertiser on such sites. You should verify the accuracy of information independently.

24. Release

You agree not to hold FilterPixel or its Related Parties responsible for any transactions with third parties, interactions with other users, or activities conducted through FilterPixel Site/App/Platform groups or events. You release FilterPixel, its officers, directors, employees, and agents from any claims arising out of such interactions or activities.

25. Limitation of Liability and Damages

FilterPixel and its contractors, agents, licensors, partners, or suppliers shall not be liable for any special, indirect, incidental, consequential, punitive, or exemplary damages arising out of or relating to these Terms, the Services, the FilterPixel Site/App/Platform, or your use or inability to use the Service, even if advised of the possibility of such damages. In any case, FilterPixel’s total liability shall not exceed the greater of (A) the revenue FilterPixel has paid you in the 12 months preceding your notice of claim or (B) Rs. 2,500 (whichever is lower). This limitation survives termination of this Agreement.

26. Indemnity

You agree to defend, indemnify, and hold harmless FilterPixel and its affiliates from any claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including attorney’s fees) arising from your use of the Service, your violation of these Terms, or any infringement of third-party rights.

27. Disclaimer; No Warranties

To the fullest extent permissible by applicable law, FilterPixel and its third-party partners, licensors, and suppliers disclaim all warranties or guarantees – whether statutory, express, or implied – including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. No advice or information, whether oral or written, obtained from FilterPixel creates any warranty or guarantee beyond what is expressly stated herein. You agree that your use of the Services is at your own risk, and FilterPixel does not guarantee uninterrupted or error-free operation of the Services.

28. Ownership; Proprietary Rights

The FilterPixel Services and the FilterPixel Site/App/Platform are owned and operated by FilterPixel and/or third-party licensors. All visual interfaces, graphics, designs, code, software, services, and other elements (“Materials”) are protected by intellectual property laws. You agree not to remove, obscure, or alter any proprietary notices or use the Materials without explicit authorization.

If you provide feedback or ideas, you hereby assign all rights to FilterPixel.

29. Modification of this Agreement

Any information collected via the FilterPixel Site/App/Platform is governed by these Terms and our Privacy Policy. FilterPixel reserves the right to change, modify, add, amend, or remove portions of this Agreement at any time by posting a notification on the FilterPixel Site/App/Platform. The changes become effective immediately upon posting. If you do not agree with the changes, your sole remedy is to terminate your use of the Services.

30. Availability

FilterPixel controls and operates the FilterPixel Site/App/Platform from India and does not guarantee that materials will be available for use outside India. If you access from outside India, you are responsible for complying with local laws. FilterPixel may cancel or redirect orders from users in regions where services are not available.

31. General Terms and Conditions

FilterPixel does not monitor your use of the Site/App/Platform on a daily basis but reserves the right to do so. FilterPixel may report to law enforcement for any illegal activity and will cooperate with investigations. Unauthorized use of materials on the FilterPixel Site/App/Platform may violate various laws.

32. Force Majeure

FilterPixel will not be held responsible for any cessation, interruption, or delay in performance due to causes beyond its control (Force Majeure Events), such as natural disasters, war, terrorism, epidemics, and other events specified herein. The duration of the excuse from liability will be determined solely by FilterPixel. You agree that no payment due shall be delayed because of a force majeure affecting you.

33. Cessation of Operation

FilterPixel Site/App/Platform may, at its sole discretion and without advance notice, cease operation and distribution of the Services.

34. Effect of Waiver

The failure of FilterPixel to exercise any right under this Agreement does not constitute a waiver of that right. If any provision is found invalid by a court, the remaining provisions shall remain in full force and effect.

35. Statute of Limitation

You agree that any claim or cause of action arising out of or related to the use of the FilterPixel Site/App/Platform or this Agreement must be filed within one (1) year of the event or be forever barred.

36. Non-Availability of the Content

FilterPixel will utilize, delete, or save data as per its policies and guidelines. FilterPixel is not responsible if your content becomes unavailable. Please ensure you back up your own data.

37. Waiver of Class Action Rights

By entering into this Agreement, you irrevocably waive any right to join claims with others in a class action or similar proceeding. All claims must be asserted individually.

38. Assignment

You may not assign your rights or obligations under this Agreement to anyone.

39. Usage of Services

FilterPixel Site/App/Platform does not respond to “Do Not Track” signals. We take reasonable measures to protect your personal information but cannot guarantee complete security.

You agree to promptly notify FilterPixel of any unauthorized use or access to the Site/App/Platform.

40. Terms of Use

We at FilterPixel respect the privacy of all visitors to our Site/App/Platform and are committed to maintaining the security of personal information in accordance with our Privacy Policy.

41. Events Outside Our Control

FilterPixel will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including failures of public or private telecommunications networks.

42. Reservation

Using the Service and FilterPixel Site/App/Platform does not grant you any ownership rights to any aspect of the Service.

43. Changes to Service

FilterPixel Site/App/Platform is constantly evolving. We may need to alter or discontinue parts of the Service to improve performance, security, comply with laws, or prevent abuse. Notice will be provided when reasonably possible, though some changes may occur without notice.

44. Uploading Content

If you choose to upload Content, you must not submit any Content that does not comply with these Terms or with applicable law. This includes ensuring you have the rights to any third-party intellectual property included in your Content.

45. Rights You Grant

You agree to grant ownership rights in your Content to FilterPixel and to grant rights to other users of the Service. If we believe any Content breaches these Terms or may cause harm, we may remove that Content at our sole discretion, which may result in termination of your access to the Service.

46. Downloadable Software

When the FilterPixel Site/App/Platform includes downloadable software, you give permission for that software to update automatically on your device when new versions or features become available. Unless governed by separate licensing terms, you are granted a personal, worldwide, royalty-free, non-assignable, non-exclusive license to use the software as part of the Service. You are not permitted to copy, modify, distribute, sell, sublicense, lease, or reverse-engineer the software without written permission.

47. Inactive Accounts Policy

Users are expected to be active members of the FilterPixel community. If an account is overly inactive (e.g., no login for six months, no content uploaded, or no engagement), FilterPixel may reclaim the account without notice.

48. Encouraging Terms of Service Violations

If you post content that encourages other users to violate our Terms of Service, such content may be removed, your account may be penalized, or even terminated.

49. Legal Compliance and Dispute Resolution

Both FilterPixel and you shall comply with all applicable laws, rules, regulations, and governmental orders. If you have a dispute with FilterPixel, you agree to first try to resolve it directly with us. If unresolved, disputes must be submitted to a neutral arbitrator. Claims must be brought individually and not as part of a class action. The process for mediation and arbitration is as follows:

• Disputes must be referred in writing within one (1) year from when the aggrieved party knew or should have known of the issue.
• If unresolved after 20 days of referral, a further reconciliation between Senior Executives may be requested.
• If reconciliation fails, arbitration will commence under the Arbitration and Conciliation Act, 1996 of India, with the seat of arbitration in New Delhi and proceedings in English.

Each party will bear its own expenses, though the arbitrator may award costs to the prevailing party.

50. Participation

To participate in any Competition, you must register as a user of the FilterPixel Site/App/Platform. Participation is only available to those who can form legally binding contracts. This excludes individuals under 18 (unless with parental consent), those whose participation has been suspended, or residents of prohibited countries. No individual or entity may register more than once, though you may participate in multiple roles.

FilterPixel may cease operation of the Site/App/Platform and distribution of Services at any time without advance notice.

51. Coupons

Coupons are non-transferable, non-redeemable for cash, and cannot be combined with other offers. Each coupon is identified by a code and has its own rewards and conditions. To redeem, enter the coupon code during booking to receive an automatic discount. If not entered at the specified time or if the purchase is confirmed without it, the discount will not apply. Coupons have limited validity and cannot be replaced if deleted, nor applied to previous orders. FilterPixel is not liable for any issues arising from the use of coupons.

52. Products

The Services may include listings, descriptions, and images of goods or services (“Products”), as well as links to Products. While we strive for accuracy, we make no warranties regarding the completeness, accuracy, or timeliness of such information. If a Product is not as described upon receipt, your remedy is to return the Product as per our returns policy. We reserve the right to limit quantities, impose conditions on promotions, and refuse transactions. Orders are subject to cancellation if not confirmed.

53. Usage by Children

Individuals under the age of 18 may use the FilterPixel Site/App/Platform only with a parent or legal guardian's permission. To prevent frivolous accounts, children must provide a parent's phone number for verification.

54. Access to FilterPixel Site/App/Platform and Service

We will strive to ensure uninterrupted availability of the Site/App/Platform, but cannot guarantee error-free service. Access may be suspended or restricted for maintenance, repairs, or updates without prior notice. FilterPixel is not responsible for downtime or delays due to scheduled maintenance or technical issues.

55. Other Businesses

FilterPixel is not responsible for evaluating or endorsing the offerings of any users, sellers, or third parties. We assume no liability for actions, products, or content from these parties.

56. Free Trials

We may offer free trials of products and Services on our Platform. Details regarding trial length, renewal period, and the first payment will be provided.

57. Intellectual Property

Pre-existing Intellectual Property: Each Party retains ownership of its pre-existing intellectual property. This includes any inventions, designs, patents, copyrights, trademarks, trade secrets, know-how, or any other intellectual property rights owned prior to this Agreement.

Jointly Developed Intellectual Property:

• Any intellectual property jointly developed by the Parties during the term of this Agreement (“Joint IP”) shall be co-owned by the Parties.
• Each Party has an equal, undivided interest in Joint IP and may use, license, and commercialize it as they prefer.

Solely Developed Intellectual Property by You: Any intellectual property solely developed by you using data provided by the FilterPixel Site/App/Platform shall be owned by you, but you grant FilterPixel a perpetual, non-exclusive, royalty-free license to use that intellectual property.
